We are delighted to collaborate with you. Following the practices outlined below ensures a smooth, efficient, and mutually beneficial partnership with 3Buy Solar. By using the 3Buy Solar platform, all Sellers agree to adhere to the terms and conditions outlined below.

General – 3Buy Solar’s House Rules
The following terms and conditions apply to all Seller interactions on the buy-solar.online, 3Buy Solar, online platform. By engaging with the online platform, Sellers agree to these terms and all applicable laws and regulations. If you disagree with any of these terms, you are prohibited from using or accessing the platform. The content and materials on this platform are protected by applicable copyright and trademark laws. 3Buy Solar reserves the right to update or amend these terms without prior notice.
The entity responsible for signing a procurement or resale agreement, issuing the self-billing invoice, and remitting payment will be clearly indicated in the Seller Portal and correspondence for each transaction. Unless otherwise specified, 3Buy Solar operates as a multi-entity B2B platform under brand licensing from 3Buy LLC (USA).
Interpretation and Identity
3Buy Solar interprets the terms and conditions as follows:
- All orders accepted by 3Buy BV, 3Buy Ltd, Apelida s.r.o., Suncrest Limited and/or 3Buy LLC (referred to collectively as “3Buy Solar”) and all quotations accepted by the Seller are governed by these terms, which supersede any other terms unless agreed in writing by 3Buy Solar.
- 3Buy Solar reserves the right to modify these terms at any time.
For the purposes of these Terms, the term “3Buy Solar” refers to one or more of the following affiliated entities:
– Apelida s.r.o. (Content and Compliance Manager – Slovakia)
– Suncrest Ltd. (EU Operational Distributor – Hungary)
– 3Buy BV (Distribution Partner – Netherlands)
– 3Buy Ltd (Regional Partner – United Kingdom)
– 3Buy LLC (Brand Owner and IP Licensor – USA)
Each entity operates within its respective jurisdiction, and contract formation, invoicing, and fulfillment responsibilities are handled by the applicable party as indicated in the specific transaction documentation.
Stock
Sellers agree to:
- Deliver goods that are new, unopened, unused, and retail-ready:
- Branded goods must be authentic.
- Products classified under UN3480 or UN3481 (e.g., lithium-ion batteries) – and not only- must retain original manufacturer packaging and labeling, and comply with international transport regulations (IATA, ADR, IMDG).
- Goods must not be older than 12 months from the manufacturing date.
- Comply with jurisdictional laws to ensure the goods can be legally sold and installed in selected regions (EU/UK/USA/others).
- Maintain updated stock lists with EANs/GTINs, pricing, inventory, and unit information in a consistent format, refreshed at least weekly, preferably daily.
- Take responsibility for claims related to missing, damaged, or stolen goods.
Sellers must ensure their “Sell To” geographic preferences on the 3Buy Solar Seller Portal are accurate and updated. Goods not suitable for the selected regions will be refunded to 3Buy Solar, with Sellers bearing the cost of collection.
Fulfillment
As a Seller on 3Buy Solar, you agree to:
- Process orders promptly, providing invoices, tracking details, and packing lists within 3 (three) days of order acceptance.
- Decline unfulfillable orders within 24 hours of notification.
Shipping
Sellers must:
- Ship orders within 3 (three) business days of acceptance.
- Pack and ship each order individually or as requested by the buyer.
- Ensure direct shipping to addresses specified on the 3Buy Solar Seller Portal.
- Accurately set and maintain “Ship To” preferences on the portal.
Sellers can only accept orders aligned with their specified “Ship To” regions.
Self-Billing Invoices & Payments
- After providing tracking and packing details, 3Buy Solar will generate a self-billing invoice, issue payments, and store invoices on the Seller Portal.
- Invoices include shipping costs, VAT, and total amounts. No separate invoice submission is required.
- Sellers must refund any excess payments immediately to avoid future order delays.
- Outstanding payments not resolved within seven days will incur late fees and potential legal action.
Other
Language
Product text must be in English language.
Dispute Resolution
All commercial disputes arising out of or in connection with these Terms shall be governed by the laws of the entity responsible for contract formation. The competent court will be that of the respective entity’s jurisdiction (e.g., Hungary, Slovakia, UK, or Netherlands). Where applicable, disputes may be resolved by arbitration or commercial mediation if agreed in writing between the Seller and 3Buy Solar.
Order Expiry
Orders expire if not fulfilled within six business days. Expired orders cannot be reinstated.
By using 3Buy Solar, Sellers accept these terms as binding. For questions, contact 3Buy Solar Support.

General Terms & Conditions of Purchase (GTP)
of 3Buy Solar and its licensed operator Suncrest Ltd.
(Effective as of August 2025)
1. Scope
These General Terms & Conditions of Purchase (hereinafter: “GTP”) shall apply exclusively to all purchase orders, framework agreements, and contracts (hereinafter: “orders”) placed by 3Buy Solar, operated in the European Union through Suncrest Ltd. (registered in Hungary), for the purchase of goods and/or services (hereinafter: “deliveries”) from suppliers, vendors, contractors, and other business entities.
The GTP applies to all business relations with suppliers who are entrepreneurs, legal persons under public law, or special funds under public law, within the meaning of Hungarian Civil Code (Act V of 2013), as well as relevant EU legislation.
Any supplier’s terms and conditions that deviate from, supplement, or conflict with this GTP are hereby expressly rejected and shall not be binding unless expressly confirmed in writing by 3Buy Solar / Suncrest Ltd. The GTP shall remain valid and binding even if 3Buy Solar does not object to the incorporation of the supplier’s terms in individual cases or accepts deliveries while being aware of contradictory terms.
The GTP shall also govern all future business relations between 3Buy Solar / Suncrest Ltd. and the supplier, even if not expressly referred to again.
2. Place of Performance, Risk Transfer, and Ownership
The place of performance shall be the delivery location specified in the order. Unless otherwise agreed in writing, the place of performance shall be the registered warehouse of Suncrest Ltd., Törökbálint DEPO, Hungary.
Deliveries shall be made according to the agreed Incoterms (INCOTERMS 2020, ICC). The supplier shall bear all risks and costs of delivery until receipt at the designated place of performance.
Risk of accidental loss or deterioration shall only pass to 3Buy Solar upon final acceptance of the goods at the agreed location.
Ownership of goods shall pass to 3Buy Solar / Suncrest Ltd. upon proper delivery and acceptance, free of any third-party rights, liens, or retention of title.
3. Supplier’s Offer
Supplier quotations must strictly comply with the specifications and technical requirements set forth in the inquiry. Deviations must be clearly highlighted. Offers are free of charge and non-binding for 3Buy Solar.
4. Orders and Formal Requirements
Orders are only binding if issued in writing or electronic text form by 3Buy Solar / Suncrest Ltd. The supplier must confirm acceptance within seven (7) days; otherwise, 3Buy Solar may revoke the order.
Any modifications, deviations, or supplementary agreements must be expressly confirmed in writing.
5. Delivery Deadlines and Penalties
Agreed delivery dates are binding. Delays must be immediately communicated in writing, specifying reasons and expected duration.
In the event of default, 3Buy Solar is entitled to statutory remedies under Hungarian law, including withdrawal from the contract and damages.
For each working day of delay, 3Buy Solar may charge a contractual penalty of 0.3% of the net order value, capped at 5% of the order value.
Partial or premature deliveries require prior written consent. Excess deliveries may be rejected or returned at the supplier’s expense.
In case of force majeure, obligations may be suspended or terminated, depending on the circumstances.
6. Delivery, Packaging, and Origin
Each delivery must be accompanied by a delivery note referencing order number, item numbers, product description, packaging details, dispatch date, and serial/batch numbers.
Goods must be packaged according to commercial standards and EU regulations, ensuring safe transport and storage.
The supplier is responsible for collecting and disposing of packaging materials free of charge, unless otherwise agreed.
Proof of origin: The supplier must provide valid long-term supplier’s declarations (EU origin) or Certificates of Origin (non-EU origin) in compliance with EU Customs Code.
7. Prices and Payment
Prices are fixed and DAP (Delivered at Place) unless otherwise agreed in writing. Prices include packaging, insurance, and transport costs, excluding VAT.
Invoices must be issued in EUR and contain order reference numbers.
Unless otherwise agreed, payments shall be made within 14 days with 3% discount or 60 days net.
3Buy Solar reserves the right to set-off against any counterclaims. Assignment of claims requires prior written consent.
8. Warranty and Liability for Defects
Supplier warrants that all deliveries are free from defects, comply with EU standards (CE, ISO, IEC, TÜV, etc.), and meet contractual specifications.
Warranty period: 36 months from resale of final product, but no later than 48 months after delivery.
3Buy Solar may choose the form of remedial action. If supplier fails to cure defects promptly, 3Buy Solar may remedy them at supplier’s cost.
Hidden defects discovered later must also be remedied at supplier’s expense.
9. Product Liability and Insurance
Supplier shall indemnify 3Buy Solar / Suncrest Ltd. against all third-party claims for damages arising from defective deliveries.
Supplier must maintain product liability insurance of at least EUR 5,000,000 per claim and provide proof upon request.
10. Confidentiality & Documentation
All information, documents, drawings, and tools provided by 3Buy Solar remain confidential and may only be used for fulfilling contractual obligations.
Upon termination of cooperation, such materials must be returned or destroyed.
11. Intellectual Property
Supplier guarantees that use of delivered goods does not infringe third-party rights. Supplier shall indemnify 3Buy Solar against any IP-related claims.
12. Compliance with Law & Employee Protection
Supplier must comply with all applicable Hungarian and EU labor, wage, and social security regulations, including minimum wage and occupational safety laws.
Supplier is responsible for ensuring that subcontractors also comply with these obligations.
13. Sustainability, REACH, RoHS, WEEE, Conflict Minerals
Supplier undertakes to comply with all applicable EU directives and regulations, including but not limited to:
REACH (Reg. EC 1907/2006)
RoHS (Directive 2011/65/EU)
WEEE (Directive 2012/19/EU)
POP (Reg. EU 2019/1021)
Conflict Minerals (Reg. EU 2017/821 & OECD Guidance)
Supplier must provide documentation of compliance upon request.
14. Applicable Law and Jurisdiction
The contractual relationship shall be governed by Hungarian law, excluding conflict-of-law provisions and CISG.
Place of jurisdiction is Budapest, Hungary. For cross-border disputes, arbitration under the Arbitration Court attached to the Hungarian Chamber of Commerce and Industry (MKIK) may be applied.
15. Severability
If any clause of this GTP becomes invalid, the remaining provisions shall remain unaffected. The invalid clause shall be replaced by a valid provision closest to the intended purpose.
